AVID Tops Warburg Pincus With A$5.40-a-Security Proposal for Australian Land-Lease Operator Ingenia

Ingenia Communities granted AVID Property Group six weeks of soft exclusivity after a non-binding cash proposal of up to A$5.40 per security, cutting off Warburg Pincus's data-room access.

Ingenia Communities Group, an ASX 200-listed operator and developer of land-lease, rental and holiday communities aimed largely at Australian seniors, has a new suitor. In an announcement to the Australian Securities Exchange dated October 26, 2026, the company said it received an unsolicited, non-binding indicative proposal from AVID Property Group Holdings after the market closed on Friday, October 23, to acquire 100% of its stapled securities.

The approach values Ingenia above the most recent proposal from U.S. private equity firm Warburg Pincus and has shifted the contest for the group: Ingenia's board has signed a process deed with AVID, granted it exclusivity, and shut Warburg Pincus out of its data room.

The terms on the table

AVID has proposed paying A$5.35 in cash per Ingenia stapled security, structured as a scheme of arrangement alongside an inter-conditional trust scheme. According to Ingenia's filing, that price would not be reduced by a distribution of up to A$0.05 per security for the half year ending December 31, 2026, meaning securityholders could receive a total of up to A$5.40 per security. Any other dividends or distributions that become payable after October 23 would reduce the price.

Ingenia said AVID has backing from "a global sovereign wealth fund and a global financial sponsor." The Australian Financial Review and IPE Real Assets identified those backers as Abu Dhabi's Mubadala Investment Company and Brookfield. The AFR reported that AVID said the proposal gives Ingenia an enterprise value of A$3.2 billion, while Reuters put the equity value of the bid at A$2.2 billion (about US$1.54 billion), according to a Reuters report syndicated by Devdiscourse.

AVID intends to fund the deal through a combination of equity and debt, and has said definitive documents would not carry a financing condition. It also plans to transfer Ingenia's holiday parks business to Tasman Holiday Parks or its nominee after implementation, a restructure the filing says would not be a condition of the deal or of payment to securityholders.

Conditions, including an exit from the Peet deal

The proposal is conditional on AVID completing due diligence to its satisfaction; a unanimous recommendation from Ingenia's board, subject to an independent expert's conclusion and the absence of a superior proposal; a scheme implementation deed with customary terms, including approvals from the Foreign Investment Review Board and the Australian Competition and Consumer Commission; and approval by AVID's board and investment committee.

It also requires Ingenia to terminate its August 26, 2026 scheme implementation deed with Western Australian developer Peet Limited and not proceed with that acquisition. Reuters described the Peet transaction as a planned A$992.5 million purchase. Ingenia's filing notes that if its board were to determine a rival proposal is superior under the Peet agreement, Ingenia would be liable to pay Peet a A$10 million reverse break fee.

For now, the board said it has not determined that the AVID proposal is a "Bidder Superior Proposal" under the Peet agreement and has not said it intends to recommend it. Ingenia said it continues to comply with its obligations to Peet and to work toward completing that acquisition. "There is no certainty that the AVID Indicative Proposal will lead to a binding proposal," the company said.

Six weeks of soft exclusivity

Under the process deed attached to the announcement, AVID receives a period of "soft" exclusivity of up to six weeks, with no-shop, no-talk and no-due-diligence restrictions, the latter two subject to a fiduciary carve-out. AVID must confirm in writing on November 13 and November 30, 2026 that it does not intend to withdraw its proposal or cut its price, or the exclusivity period ends. AVID also receives a matching right if a competing proposal emerges.

How the Warburg Pincus contest unfolded

Ingenia had been negotiating with Warburg Pincus. In an October 20 ASX release, the company described a further revised Warburg Pincus proposal of A$5.25 cash per stapled security, also not reduced by a distribution of up to A$0.05, and said the two sides aimed to agree a process deed by October 23 while Warburg Pincus carried out due diligence. Reuters reported that Warburg Pincus had made three bids, and that Ingenia's shares had risen more than 35% since the first offer in September.

With the AVID process deed signed, Ingenia said it has terminated Warburg Pincus's access to its data room. Reuters said the A$5.40 total represents a 13.4% premium to Ingenia's closing price on Friday.

Share price reaction and the bidder

Ingenia's securities jumped as much as 9.1% on Monday before closing 5% higher at A$5.00, their highest close in nine months, Reuters reported. Ingenia describes itself as having 96 communities and development sites and a market capitalization of A$1.7 billion in the boilerplate of its filings.

AVID, which IPE Real Assets reported is owned by Proprium Capital Partners, previously acquired listed residential developer AVJennings. "With backing from our investment partners, we believe this proposal delivers compelling value for Ingenia securityholders and a quality future for the business," AVID chief executive Anthony Demiris said, as quoted by IPE Real Assets.

Cameron Curko, chief investment officer at Pitcher Partners, told Reuters that Ingenia was "clearly an attractive set of assets" that had been underpriced due to the Peet deal terms and weak sentiment toward residential real estate following several Reserve Bank of Australia rate increases and earlier federal budget changes.

Ingenia said securityholders do not need to take any action and that it will provide updates in due course.
